Licensing Agreement

This Audio Template Licensing Agreement (the "Agreement") is entered into between Blue Oak Recording, Inc dba Pro Audio Templates (PAT) (the "Licensor") and The User (the "Licensee"). The following terms apply to the use and ownership of all Products and subsequent Materials provided by Pro Audio Templates and Blue Oak Recording, Inc.

Purpose:
The purpose of this Agreement is to grant the Licensee a non-exclusive, worldwide license to use the Products and Material provided by Pro Audio Templates for their involvement in  personal and commercial projects, subject to the terms and conditions herein.

Grant of License:
2.1 Scope: The Licensee is granted the right to use the audio templates solely for projects they personally work on.
2.2 Permitted Use: The Licensee may modify, adapt, and incorporate the audio templates into their works, provided proper attribution is given to Pro Audio Templates and the contributing engineers.
2.3 Restrictions: The Licensee shall not distribute, resell, sublicense, or make the audio templates available to third parties without prior written consent from Pro Audio Templates. The Licensee shall not create derivative works intended for commercial distribution or sale as competing Products or Material. Furthermore, the Licensee agrees not to reverse-engineer, decompile, or disassemble the Products and Material, nor to use them in a way that disparages Pro Audio Templates or infringes upon Pro Audio Templates’ intellectual property rights.

Intellectual Property:
3.1 Ownership: The Licensor retains all rights, title, and interest in and to the audio templates, including all associated intellectual property rights.
3.2 Attribution: The Licensee shall provide appropriate attribution to Pro Audio Templates in connection with the use of the audio templates in their works.
3.1 The Licensor acknowledges that certain audio templates may include contributions from third-party engineers ("Contributing Engineers"). These contributions are protected under this Agreement, and the Licensee agrees not to engage in any activities that would infringe upon the rights of the Contributing Engineers, including, but not limited to, unauthorized use, replication, or distribution of their work. The Licensee further agrees to accord appropriate recognition to the Contributing Engineers when required by the Licensor.

Anti-Piracy:
The Licensee expressly agrees not to engage in any form of piracy, which includes but is not limited to distributing, reproducing, or making the templates available to unauthorized parties. Any unauthorized distribution or use of the templates shall be considered a material breach of this Agreement, subjecting the Licensee to legal consequences as outlined herein.

Termination:
Pro Audio Templates may terminate this Agreement upon written notice if the other party breaches any material provision of this Agreement. Upon termination, the Licensee shall cease using the audio templates.

Disclaimer of Warranty:
The audio templates are provided "as is" without warranties of any kind, either expressed or implied. Pro Audio Templates and Blue Oak recording, Inc disclaims any and all liability arising from the use of the audio templates.

Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of The State of California and The United States of America. Any disputes arising out of or relating to this Agreement shall be resolved in the courts of The State of California.

Breach of Agreement Consequences:
In the event of a breach of any provision in this Agreement, the Licensor reserves the right to pursue appropriate legal remedies. Such remedies may encompass, but are not limited to, injunctive relief, claims for damages, and termination of the Licensee's access to and use of the templates. The Licensee shall bear the responsibility for all legal fees and costs incurred by the Licensor in enforcing this Agreement. In the event of a breach of these terms by the Licensee, Blue Oak Recording, Inc and Pro Audio Templates reserves the right to take additional actions, including, but not limited to: Immediate termination of the License Agreement and revocation of the Licensee's rights to use the Products and Materials, without notice, Initiation of legal proceedings to seek damages and/or injunctive relief for infringement of intellectual property rights, a claim for compensation for any financial losses suffered by Pro Audio Template and Blue Oak Recording, Inc as a result of the breach, including but not limited to damages, lost profits and legal costs. The Licensee acknowledges that these consequences are a reasonable and necessary protection of Pro Audio Templates’ and Blue Oak Mastering’s proprietary rights and interests in the Products and Materials. 

The Licensee acknowledges that the Products and Material, including but not limited to their structure, design, and underlying setting & design, are the exclusive property of Pro Audio Templates and Blue Oak Recording, Inc. The Licensee is granted a non-exclusive, non-transferable, worldwide right to use the Products and Material as part of their audio production projects. 

Blue Oak Recording, Inc doing business as Pro Audio Templates retains all rights to this Product and its Material, including but not  limited to any associated digital audio workstation (DAW) session files, plugin settings, concepts and documentation, and is protected by copyright laws and international treaty provisions. Unauthorized reproduction, distribution, or modification of this Product and its Materials or any part thereof is a violation of copyright law,  strictly prohibited and may be subject to legal action.

By purchasing and downloading this Product and any related Materials, the Licensee agrees to be bound by the terms and conditions of this Agreement.
