End User License Agreement

This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between:
-
Blue Oak Recording, Inc., doing business as Pro Audio Templates
(“Pro Audio Templates”, “PAT”, or “Licensor”),
and
- The purchasing individual or entity (“Licensee” or “you”).
By purchasing, downloading, installing, copying, or using any PAT product, the Licensee agrees to be bound by this Agreement.
If the Licensee does not agree to all terms of this Agreement, the Licensee must not download, install, or use the Products or Materials.
1. Scope of Agreement & Definitions
1.1 Products and Materials
“Products” or “Materials” include, without limitation:

Digital audio workstation (DAW) session templates;
-
Track layouts, routing structures, bussing schemes, and signal-flow designs;
-
Plugin starting-point settings and preset files;
-
Documentation, diagrams, manuals, quick start guides, cheat sheets, and other written or visual materials;
-
Any related audio, MIDI, project, or configuration files provided by Pro Audio Templates;
- Any updates, revisions, or additions supplied by PAT unless expressly stated otherwise.
1.2 Example Products
This Agreement applies to all PAT products, including but not limited to Major Label Vocals (MLV) in all DAW and tier variants (LITE, STUDIO, PRO, etc.).
1.3 Licensee
“Licensee” means the individual person or the single legal entity that purchased or otherwise lawfully acquired a license to use the Products from PAT or an authorized distributor.
1.4 Use
“Use” means installing, loading, opening, editing, accessing, or integrating the Products or Materials into audio or media projects in any way.
2. Acceptance of Terms
By purchasing, downloading, installing, or using any Products or Materials, the Licensee:
- Confirms they have read, understood, and agreed to this Agreement;

Confirms they are of legal age and capacity to enter into a binding agreement;
- If acting on behalf of an organization, represents that they are authorized to bind that organization, and “Licensee” includes both the individual and the organization.
3. Grant of License — Licensed, Not Sold
3.1 License Grant
Subject to full payment of applicable fees and compliance with this Agreement, PAT grants the Licensee a non-exclusive, non-transferable, worldwide license to Use the Products and Materials solely for the Licensee’s own personal or commercial audio production work.
3.2 Licensed, Not Sold
The Products and Materials are licensed, not sold. No ownership, title, or intellectual property rights in any template, routing design, preset, manual, or documentation are transferred to the Licensee.
3.3 Single-User License
This license is granted to one natural person (one individual user). The Licensee may install the Products and Materials on multiple devices owned or directly controlled by that individual, provided that:

Only that individual uses the Products and Materials; and
- The same license is not used simultaneously by multiple people.
Studios, labels, production teams, and educational institutions must obtain appropriate multi-seat or institutional licensing from PAT.
3.4 Permitted Use
The Licensee may:
-
Use the Products and Materials in personal and commercial projects;
-
Modify, adapt, and customize the session files, routing, and presets for their own workflow;
- Render, export, and distribute finished audio created using the Products and Materials (e.g., songs, mixes, masters, stems, podcasts, scores, etc.);
No attribution is required on commercial releases. Where appropriate (e.g., educational content, behind-the-scenes, credits), voluntary attribution to Pro Audio Templates and any named contributing engineers is appreciated.
4. Restrictions & Prohibited Uses
The Licensee shall not:
4.1 Redistribution & Resale

Resell, redistribute, sublicense, gift, trade, or otherwise make the Products or Materials available to any third party, in whole or in part;

Upload the Products or Materials to public or shared drives, websites, forums, servers, shared studios, or cloud storage where others may access them;
- Share the Products or Materials with clients, collaborators, producers, engineers, students, or team members as stand-alone assets.
4.2 Competing Products & Derivative Works

Use the Products or Materials (including layout, naming, routing, bussing, color-coding, preset structures, or documentation) to create competing products, such as:

Alternate templates for sale,
-
Preset packs,
-
Online courses, workshops, or membership content that distribute or embed the Products or Materials;
-
Alternate templates for sale,
-
- Repackage or lightly modify PAT templates or presets and sell or distribute them as new products or services.
4.3 Hosting & Service Provision
-
Host, rent, lease, or lend the Products or Materials as part of a service bureau, cloud, or shared template system for multiple users;
- Provide access to the Products or Materials as a “value-add” to clients (e.g., handing off the PAT session itself as part of a mixing/mastering service), unless expressly authorized in writing by PAT.
4.4 Reverse Engineering & Tampering

Reverse-engineer, decompile, or disassemble any digital protections or delivery mechanisms used by PAT;
- Attempt to remove or obscure copyright notices, trademarks, or proprietary labels within the Products or Materials.
4.5 AI Training & Dataset Use
-
Use the Products or Materials, in whole or in part, as training data or reference material for any AI, machine learning, or algorithmic system without express written permission from PAT;
- Include PAT session files, presets, routing schemes, or documentation in any dataset offered to third parties.
4.6 Unlawful Use & Misrepresentation
-
Use the Products or Materials in violation of applicable law or rights of third parties;
- Represent the configuration, routing, or design of PAT Products as their own proprietary template product or methodology for resale or publication.
5. Intellectual Property & Contributing Engineers
5.1 Ownership
All rights, title, and interest in and to the Products and Materials—including copyright, trade dress, trade secrets, and other intellectual property—are and remain the exclusive property of Blue Oak Recording, Inc. and/or its licensors.
5.2 Contributing Engineers
Some Products (including variants) may include contributions from external engineers or producers (“Contributing Engineers”). Their contributions remain protected, and the Licensee:

May not copy, extract, or redistribute their work as standalone presets, templates, or educational materials;
-
May not use those contributions to create competing products;
- Shall provide recognition if explicitly requested by PAT in relation to specific Products.
5.3 No Implied Rights
Except for the limited license granted in Section 3, no other rights are granted, whether by implication, estoppel, or otherwise.
6. Third-Party Software & Compatibility
6.1 Third-Party Dependencies
The Products and Materials may require specific:

DAWs (e.g., Pro Tools, Logic, Ableton, etc.);
-
Plugins or plugin bundles (e.g., Waves, FabFilter, Plugin Alliance, etc.);
- Operating systems and hardware.
These third-party tools are not provided by PAT and are licensed under their own terms.
6.2 Licensee Responsibility
The Licensee is solely responsible for:
-
Obtaining and maintaining valid licenses for all third-party software and plugins;
-
Ensuring their system meets required technical specifications;
- Managing OS, DAW, and plugin updates and maintaining backups.
6.3 No Ongoing Compatibility Guarantee
PAT does not guarantee that Products and Materials will remain compatible with:
-
Future OS versions,
-
Future DAW updates,
- Future plugin updates or discontinuations.
Where possible, PAT may provide updated versions or workarounds at its discretion, but is under no obligation to do so.
7. Anti-Piracy & Enforcement
7.1 Piracy
Any unauthorized distribution, sharing, or resale of the Products or Materials—whether intentional or negligent—constitutes piracy and a material breach of this Agreement.
7.2 Investigations & Enforcement
Pro Audio Templates reserves the right to:
-
Investigate suspected breaches using reasonable methods (including purchase record reviews and limited technical measures);
-
Issue takedown notices under applicable copyright laws;
-
Suspend or terminate access to future updates or purchases;
- Pursue civil and, where applicable, criminal remedies.
7.3 Costs & Damages
In the event of a breach, PAT may seek:
-
Injunctive relief;
-
Statutory and actual damages;
-
Recovery of lost profits;
- Recovery of reasonable attorney’s fees and enforcement costs.
8. Updates, Revisions & Product Changes
8.1 Updates
From time to time, PAT may provide updates, revisions, or additional Materials (e.g., refined routing, updated presets, revised documentation). Access to such updates may:
-
Be included with a given product or tier;
-
Be offered as a paid upgrade;
- Be discontinued at any time.
8.2 Discontinuation
PAT may modify, suspend, or discontinue any Product, bundle format, or variant (e.g., dropping support for a deprecated plugin bundle) without prior notice and without obligation to provide replacement Products.
8.3 Old Versions
The Licensee may continue to use previously downloaded versions subject to this Agreement, but PAT is not obligated to support, update, or repair behavior related to outdated software environments.
9. Digital Delivery, Refunds & Chargebacks
9.1 Digital Delivery
Products are delivered digitally, typically via download links or account-based access. Download windows or limits may apply depending on the delivery system.
9.2 Final Sale
Because Products and Materials are digital goods that cannot be “returned,” all sales are final once the Licensee has purchased the files, except where required by applicable law. Access Equals Delivery. Upon completion of the purchase, the Licensee is immediately granted access to the digital Products and Materials. Because digital goods cannot be returned or verified as “unused,” access to the download link or delivery system constitutes full delivery of the Product, regardless of whether the Licensee downloads, opens, or uses the files.
9.3 Technical Issues
If a technical issue prevents access or delivery, PAT will make reasonable efforts to restore access or provide alternative delivery. This is the Licensee’s sole remedy for delivery issues.
9.4 Chargebacks
Unauthorized or fraudulent chargebacks are treated as a breach of this Agreement. PAT reserves the right to:

Revoke access to Products and Materials;
-
Terminate the license;
- Pursue recovery of fees and associated costs.
10. Support & Communication
10.1 Support Scope
PAT may provide support for:
-
Download and file access issues;
-
Basic installation and file placement guidance;
-
Clarification of routing, workflow, and preset loading;
- Compatibility questions within supported environments at the time of sale.
10.2 Not Included in Support
Support does not include:
-
Custom session builds or modifications beyond the provided Products;
-
Mix, vocal, or mastering feedback;
-
Reconstruction of sessions lost due to Licensee system failure;
-
Training on third-party plugins, DAWs, or operating systems not provided by PAT;
- General computer troubleshooting or hardware support.

Response times may vary depending on workload and volume.
11. Privacy & User Data (High Level)
PAT may collect limited information related to purchases, product delivery, and support (e.g., name, email, purchase history) as necessary to:

Fulfill orders;
-
Provide support;
- Maintain internal records.
Data handling practices are governed by PAT’s separate Privacy Policy, where applicable. PAT does not require or access the Licensee’s audio files, sessions, or creative content for the normal operation of these Products.
12. Warranty Disclaimer
12.1 “As-Is” Basis
To the maximum extent permitted by law, the Products and Materials are provided “as is” and “as available,” without warranty of any kind, whether express, implied, or statutory.
12.2 No Guarantees
Without limiting the generality of the above, PAT does not warrant that:

The Products or Materials will be error-free or uninterrupted;
-
The Products or Materials will be compatible with all systems, future updates, or configurations;
- Any documented workflow, technique, or routing design will achieve any specific artistic, commercial, or technical result.
13. Limitation of Liability
To the maximum extent permitted by law:
-
PAT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, interrupted work, or business interruption, arising out of or related to the use or inability to use the Products or Materials, even if advised of the possibility of such damages.
- PAT’s total cumulative liability for any claim related to the Products, Materials, or this Agreement shall not exceed the total amount paid by the Licensee for the specific Product giving rise to the claim.
Some jurisdictions do not allow certain limitations; in such cases, the above limitation shall apply to the fullest extent permitted.
14. Indemnification
The Licensee agrees to indemnify, defend, and hold harmless Blue Oak Recording, Inc., Pro Audio Templates, its owners, employees, and Contributing Engineers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of:

The Licensee’s use of the Products or Materials in violation of this Agreement;
-
The Licensee’s violation of any applicable law or third-party rights;
- Any content created or distributed by the Licensee using the Products or Materials.
This obligation survives termination of this Agreement.
15. Term & Termination
15.1 Term
This Agreement is effective from the date the Licensee first purchases, downloads, or Uses any Product and continues unless terminated as provided herein.
15.2 Termination by Licensee
The Licensee may stop using the Products and Materials at any time. No refunds will be issued except as required by law.
15.3 Termination by Licensor
PAT may terminate this Agreement and revoke the Licensee’s rights immediately if:

The Licensee breaches any material term of this Agreement;
-
PAT reasonably suspects piracy, unauthorized sharing, or fraud;
- Required payments are reversed or charged back.
15.4 Effect of Termination
Upon termination:
-
The Licensee must cease all use of the Products and Materials;
-
The Licensee must delete all copies of the Products and Materials from all devices and backups, except as required by law;
- Termination does not limit PAT’s right to seek damages or other remedies.
16. Governing Law, Venue & Limitation Period
16.1 Governing Law
This Agreement is governed by and construed in accordance with the laws of:
-
The State of California, and
- The United States of America,
without regard to conflict-of-law principles.
16.2 Venue
Any disputes arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and the parties consent to such jurisdiction and venue.
16.3 Limitation Period
Any claim or cause of action arising from or relating to this Agreement or the Products and Materials must be brought within one (1) year from the date such claim or cause of action first arose, or it is permanently barred, to the fullest extent permitted by law.
17. Class Action Waiver
To the fullest extent permitted by law, disputes must be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative action.
The Licensee and PAT each waive any right to bring or participate in a class action or class arbitration related to this Agreement or the Products and Materials.
18. Severability, Force Majeure & Entire Agreement
18.1 Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18.2 Force Majeure
PAT shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, failures of third-party services, or outages of hosting or payment providers.
18.3 Entire Agreement
This Agreement constitutes the entire agreement between the Licensee and PAT regarding the Products and Materials and supersedes all prior or contemporaneous agreements, proposals, or communications, whether oral or written.
18.4 Modifications
PAT may update this Agreement from time to time. The current version will be made available with new purchases or on relevant PAT pages. Continued use of the Products or Materials after changes take effect constitutes acceptance of the updated Agreement.
